Governing Law: England and Wales

Welcome to Phire Gigno Limited.

These Terms and Conditions ("Terms") constitute a legally binding agreement between you and Phire Gigno Limited ("PhiréGigno", "the Company," "we," "us"), a company registered in Nigeria (RC8663459), acting on behalf of the artist, Phiré ("the Artist").

By accessing https://phiregigno.com (the "Website"), you agree to be bound by these Terms. If you do not agree, you must cease use of the Website immediately.

1. Intellectual Property & Proprietary Concepts

The Website and its entire contents, including but not limited to original artworks, preparatory sketches, design narratives, conceptual frameworks, and the "PhiréGigno" aesthetic identity, are the exclusive intellectual property of the Company and the Artist unless otherwise stated.

Historical or factual information referenced in these materials remains the property of its respective sources.

Access to this Website does not grant any licence or rights to reproduce, distribute, or otherwise use these materials without prior written permission from PhiréGigno.

Moral Rights: The Artist hereby asserts all moral rights under the Copyright, Designs and Patents Act 1988, including the right of attribution and the right to integrity of the work.

Retention of Copyright on Sale: The sale of any artwork, whether an original painting, limited edition print, or open edition print, transfers physical ownership of the work only. No sale constitutes a transfer of copyright, reproduction rights, moral rights, or any other intellectual property rights in the work. Copyright and all associated rights remain the exclusive property of the Artist and the Company in perpetuity, regardless of the subsequent ownership or location of the physical work.

Artist's Reserved Rights: Notwithstanding any sale, the Artist and the Company expressly and irrevocably retain the right to reproduce, publish, broadcast, and commercialise images of all works, including sold originals and all print editions, for any purpose, including but not limited to editorial features, portfolio documentation, publications, storybooks, calendars, branded merchandise, licensing, and promotional use, without restriction and without requirement to notify or seek consent from the collector or any subsequent owner.

Conceptual Protection: You acknowledge that the "design concepts" and "narrative frameworks" revealed on this site are trade secrets and proprietary methodologies. Any unauthorised "style-cloning," adaptation, or use of these concepts for independent projects is strictly prohibited.

2. Restrictive Covenants (Prohibited Use)

To protect the Artist's vision and the investment value for collectors, the following actions are strictly prohibited:

Commercial Exploitation: Reproducing, selling, or licensing any visual material or proprietary design narratives for profit or commercial gain without a formal licensing agreement.

Derivative Works: Creating "in the style of" adaptations or any works derived from the Artist's unique conceptual or visual methodology.

Generative AI & Machine Learning: You are strictly prohibited from using any site content (images, text, or metadata) to train, develop, or improve artificial intelligence models, generative art algorithms, or large language models. This includes "style-cloning" or "weight-training" based on the Artist's visual signature.

Automated Extraction: The use of bots, scrapers, or data-mining tools to harvest high-resolution imagery or specification data is a breach of these Terms.

3. Sales, Provenance, and Resale

Edition Definition: A "limited edition print" refers exclusively to a numbered fine art print edition produced in a specific print medium and format. The edition limitation applies solely to that print format and run number. It does not restrict the Artist's or the Company's right to reproduce, publish, or commercialise the underlying artwork image in any other medium, format, or product category, including but not limited to open edition prints, branded merchandise, publications, storybooks, calendars, and digital uses.

Authenticity: All original works and limited edition prints are accompanied by a Certificate of Authenticity (COA). This COA is the primary record of provenance.

Artist's Resale Right (ARR): In accordance with the Artist's Resale Right Regulations 2006, the Artist may be entitled to a royalty on any secondary market sale of the original works or limited edition prints handled by an art market professional.

Collector Responsibility: Collectors acknowledge the delicate, archival nature of the media and substrates used. Original works are available on Arches paper using archival-grade watercolour or gouache, or on stretched canvas using archival-grade acrylic or oil paints, and may be delivered framed or unframed. Print editions are available as framed canvas prints or unframed giclée prints. Unframed works on paper, whether original or print, are particularly sensitive to direct handling; contact with skin oils can cause irreversible damage and collectors are advised to handle these works only by their edges or with clean cotton gloves. All works are sensitive to environmental factors including high humidity, temperature fluctuations, and direct UV exposure. Damage caused by improper handling, unpacking, or mounting, or the use of non-archival framing materials, is the sole responsibility of the collector.

4. Shipping, Risk, and Title

The following terms apply to all products sold through this Website, including original paintings, limited edition prints, open edition prints, and branded merchandise.

Transfer of Title: Legal ownership of all items, regardless of type or value, passes to the Buyer only once Phire Gigno Limited has received payment in full. Until that point, all items remain the property of the Company.

Transfer of Risk: Notwithstanding the transfer of title, the Risk of Loss or Damage remains with the Company until the item is physically delivered into the possession of the Buyer or a person identified by the Buyer to take possession of it. From the moment of physical delivery, risk passes entirely to the Buyer.

Shipping: PhiréGigno exclusively selects and manages couriers and fulfilment partners for all shipments. For original artworks, the Company manages all archival packaging directly. For print editions and branded merchandise, fulfilment is managed through our appointed print and logistics partners.

Inspection Requirement: Upon physical receipt, the Buyer must inspect all items immediately. The following reporting windows apply:

  • Original paintings, limited edition prints, open edition prints, and framed works: within 72 hours of confirmed delivery
  • Branded merchandise (tote bags, journals, calendars, greeting cards, story books, etc): within 7 days of delivery

All damage claims must be submitted in writing to studio@phiregigno.com with photographic evidence within the applicable window. Please review our Returns and Art Preservation Policy for full evidentiary requirements and claim procedures.

5. Third-Party Linking

Third-Party Linking: You may link to our homepage provided the link is professional and does not imply an endorsement or partnership without written permission. Use of the PhiréGigno logo or any artwork for linking purposes is strictly prohibited without a separate Trademark Licence Agreement.

Editorial and Non-Commercial Sharing: Images of artworks displayed on this Website may be shared for non-commercial editorial or reference purposes, such as articles, blogs, or academic discussion, provided that the artwork is not altered and that clear credit is given to the Artist (Phiré) along with a link to the source page on this Website.

Requests for Use: Any commercial use, reproduction, licensing, or sale of images by third parties requires prior written permission. Requests for reproduction, licensing, publication, or other uses of artwork images should be directed to PhiréGigno through the contact information provided on this Website.

Artist's Own Use: For the avoidance of doubt, nothing in this Section restricts the Artist's or the Company's own right to publish, reproduce, license, or commercialise images of any artwork, including works that have been sold, in any medium or format at their sole discretion.

Reservation of Rights: PhiréGigno reserves the right to request the removal of any unauthorised use of images, links, or content originating from this Website at its sole discretion.

6. Limitation of Liability

To the maximum extent permitted by English law, PhiréGigno shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Website.

Digital representations of colours may vary slightly from the physical original due to screen calibration; such variations do not constitute a defect or a misdescription under the Consumer Rights Act 2015.

Slight colour variations between digital representations and physical branded merchandise or print editions are inherent to the print-on-demand process and do not constitute a defect or misdescription.

7. Jurisdiction and Dispute Resolution

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction to settle any such dispute or claim.

Policy Revisions and Governing Terms

Phire Gigno Limited reserves the right to modify these policies at any time without prior notice. Any updates will be effective immediately upon posting to the Website. For any given acquisition, the active terms and conditions at the exact time of purchase shall govern that transaction. Continued use of the Website or subsequent acquisitions of artworks following any updates constitutes your explicit agreement to be bound by the revised policies for all future transactions.
